Role Overview & Key Focus Areas
Reporting directly to the Head – Legal & Secretarial, the Manager will play an instrumental role in shaping the organization's governance, regulatory compliance framework, and litigation strategy while providing key strategic counsel to executive leadership and business verticals.
Key Responsibilities
- Corporate Legal Advisory & Contracting: Draft, review, and negotiate complex commercial agreements including customer/vendor contracts, NDAs, service agreements, JV partnerships, and tech agreements. Develop standardized legal SOPs and approval matrices.
- Corporate Secretarial & Governance: Oversee secretarial compliances under the Companies Act for the group entities. Manage Board, Committee, AGM, and EGM documentation, statutory filings, minute books, and shareholding records. Coordinate seamlessly with statutory, secretarial, and internal auditors.
- Compliance Framework: Build, implement, and monitor robust legal compliance frameworks and calendars. Track evolving statutory regulations and assess potential business impacts.
- Dispute Resolution & Litigation Management: Manage pending legal notices, arbitration, and court proceedings. Partner with external legal counsel to drive litigation strategy and commercial dispute settlements.
- Strategic & Stakeholder Support: Advise senior executive management, Board members, and key business units (Finance, HR, Procurement, Tax) on commercial risk mitigation and strategic corporate actions.
Eligibility & Qualification Requirements
- Education: LL.B. / Bachelor's Degree in Law from a recognized university. Possession of a Qualified Company Secretary (CS) designation from ICSI is preferred/required.
- Experience: 10+ years of post-qualification experience in Corporate Legal, Secretarial, Governance, and Regulatory Compliance—preferably within an in-house corporate legal department.
- Core Competencies: In-depth knowledge of Indian Corporate Laws, Companies Act compliances, contract negotiation, litigation tracking, and stakeholder management.
