Key Responsibilities
- Transaction Drafting & Negotiation: Draft, review, negotiate, and finalize complex debt and equity financing documents, share purchase agreements, shareholder agreements, and commercial contracts.
- Due Diligence: Conduct and lead thorough corporate and legal due diligence exercises for acquisitions, private equity rounds, and structured finance mandates.
- Regulatory Advisory: Provide nuanced advisory services under key Indian regulatory frameworks including the Reserve Bank of India (RBI) regulations, FEMA compliance, and SEBI regulations.
- Client & Partner Engagement: Coordinate directly with high-profile corporate clients, financial institutions, and internal stakeholders under the guidance of the Co-Deputy Managing Partner.
Candidate Profile & Qualifications
- PQE: 2 to 4 years of solid post-qualification experience in corporate transactional work.
- Background: Candidates with prior experience at recognized law firms or leading in-house legal departments are strongly welcomed.
- Expertise: Demonstrated proficiency in drafting and negotiating debt/equity transaction documentation and conducting due diligence.
- Regulatory Acumen: Strong working knowledge of RBI guidelines, FEMA, Companies Act, and SEBI regulations.
